Comments and suggestions:

Case fans: I personally prefer Antec's Tri-Speed fans, for reliability and variable performance to sound level ratio.
Case: If you think the Antec Three Hundred is good, it's at Fry's B&M for $44.
HDD: I'm not sure how well Hitachi does, WD and Seagate usually produce reliable products.
CPU: Good processor, but also consider some of AMD's line-up. The Phenom II's are good too.
Optical drive: Very Happy
PSU: Modular is good and the power supply performs well. IIRC, it was ~$50 (after MIR) at Newegg a while ago, so watch for price drops.
RAM: IMO, you won't benefit much from DDR3 compared to DDR2 on Core 2-based microprocessors.
Motherboard: NVIDIA's chipset is a bit... yeah. Expensive motherboard (a reliable Intel P45 would be much better and cheaper) and not-too-great overclocking performance and stability.
Graphics card: Newegg has the EVGA GTX 260 (Core 192 65nm) at the same price after MIR, which is far better than the 9800GTX+. Fry's B&M had the same model for $150 after MIR a week ago. If you still are going to stick with the over-rebranded G92 core, then go with the cheaper and faster GTS 250.
CPU Cooler: I doubt you're going to be able to hit 4.2GHz with decent temperatures using this cooler, and using a 790i doesn't help the task. Use the money saved from getting a P45 motherboard towards a better CPU cooler (i.e. TT Big Typhoon, Ultra 120 Extreme, Tuniq Tower, Noctua NH-U12P, etc.) and graphics card.

It should work, but consider the alternatives. At least change out the motherboard.

Wow, I highly appreciate your work. Finding a new motherboard to support pci x16 2.0 with good ddr2 support is a little difficult.

Shouldn't be too difficult. Most P45 mobos would be good for you to get, the P5Q PRO, Gigabyte DS3L, and Gigayte UD3P are all oft-recommended for C2D/C2Q builds.

Yeah, that combo'll work. If you don't need two PCIe x16 2.0 slots for Crossfire (ATI cards), you can get a Gigabyte UD3L (1 PCIe x16 2.0 slot). Remember to get the P45 version (there's also one with the P43 chipset on ZZF).

If you don't know about them, Newegg hosts combo deals that can end up helping you save a lot of money, or even in some cases, get a free component (Vista + free HDD). For example, with the P5Q Pro, you can save $10 by buying both the motherboard and CPU.

You can also go for the Gigabyte EP45-UD3R if the UD3L version doesn't provide enough features or you need the RAID capability/extra SATA ports. There's also a combo deal with E8500, but it'll still cost you an extra $10 (with the combo deal savings applied) for that extra .5x multiplier.

The Wolfdale-3M CPU's offer amazing bang-for-your-buck (possibly even more than the full-fledged Wolfdale chips). The E7400 as a combo with the P5Q Pro is a good $50 less than the equivalent motherboard with an E8400. It comes with a lower FSB (and similar clock speed), so you get a higher multiplier for an even better overclocking experience. You're mainly losing only the 3MB of L2 cache, which, when factored, still makes it a better deal than Wolfdale processors, IMO.

If you're going C2D/C2Q, why use DDR3 RAM? It's pointless and a waste of money. For half the price of 6GB of DDR3, you can get 8GB of DDR2.

Change:
- HDD, 500GB costs the same

- CPU, get E8400 instead.

- Videocard, get the 216 if that one isn't.

Yea, I changed the gfx card, and HD, Cant afford the CPU, but this one is highly OC'able, so yea.

EDIT: I could possibly move things around a bit to afford the 3.0ghz cpu, but is there really a difference when it comes to how well they can OC?

You're spending way too much money on the case.

Get an Antec 300 and the Corsair or PC Power and Cooling 500W PSU.

Antec 300 - $55
500W PSU - $60

You just saved $70 to put towards the CPU and graphics card.

Get the Antec 300, keep the E7400, and spend $15-20 more on a better CPU cooler to get more out of your overclock. Superweapons listed a few earlier.
